International Corporate Law
Cross-Border Corporate Matters - Advising on corporate matters across jurisdictions, managing legal and tax considerations arising from cross-border transactions and operations.
International Commercial Agreements - Drafting, reviewing, and negotiating complex cross-border commercial agreements, strong governing law, dispute resolution, liability, indemnities, confidentiality, and intellectual property.
Corporate Structures and Governance - Expertise in advising on corporate structures, ownership, governance, and compliance for international operations and investments.
Joint Ventures and Strategic Partnerships - Advising on ownership, governance, control, profit-sharing, decision-making, exit rights, and termination arrangements.
Shareholder/Partnership Arrangements - Drafting and negotiating shareholders’ and partnership agreements, investment arrangements, andownership-relateddocumentation.
M&A and Due Diligence - Substantial experience in mergers, acquisitions, disposals, investments, and cross-border transactions, including legal due diligence, risk assessment, transaction structuring and negotiation, and coordination with external counsel and advisers.

International Disputes
Responsibilities include managing international disputes, including:
Pre-Litigation Strategy - Develop and implement strategies to assess, manage, and resolve disputes before formal proceedings,
Arbitration and Litigation Coordination - Manage and coordinate arbitration and litigation matters and ensuring timely and effective case management.
Settlement Negotiations - Lead or support settlement negotiations with counterparties and legal representatives to achieve commercially appropriate and cost-effective resolutions.
Enforcement Matters - Advise on and coordinate the enforcement of judgments, arbitral awards, contractual rights, and other legal remedies across relevant jurisdictions.
Assessment of Jurisdiction and Applicable Law - Assess jurisdictional issues and determine the applicable laws, dispute resolution mechanisms, and legal forums for domestic and cross-border disputes.
External Counsel Management - Ability to select and manage local and international counsel, oversee scope, performance and legal costs, and ensure external legal advice is aligned with the company’s objectives and management needs
REQUIREMENTS
Management Advisory Role - Advise senior management on complex legal and commercial matters by clearly presenting key risks, available options, and recommended courses of action, with a practical and business-focused approach.
Reinsurance Experience - Reinsurance or financial services experience is a strong advantage, but not an essential requirement where the candidate has strong international corporate and commercial legal expertise.
Ability to develop litigation strategy and manage local or external counsel across jurisdictions, without necessarily conducting the litigation personally.
Legal Drafting and Negotiation - Excellent English legal drafting and negotiation skills, with the ability to independently review, draft, and negotiate complex international agreements.
Regulatory and Governance - Strong experience in regulatory matters, board support, corporate governance, and LFSA-related responsibilities.
Internal Training - Provide legal and compliance training as a secondary responsibility, supporting broader legal and business objectives.
QUALIFICATIONS
Qualified Lawyer (JD, LLB, or equivalent) with active bar membership in a recognized jurisdiction.
7–12 years of post-qualification experience, ideally in a law firm or in-house within the (re)insurance or financial services sector, with flexibility for exceptionally strong candidates.
Proven experience with corporate law, M&A, and reinsurance or insurance regulatory law.
Excellent drafting, negotiation, and analytical skills.
Familiarity with international legal and regulatory environments.
Strong business acumen and ability to work cross-functionally in a fast-paced environment.
High ethical standards and attention to detail.
